How will my day-to-day life/schedule change post-acquisition?
Daily schedules will remain unchanged initially. Elevate ENT will provide metrics and benchmarking tools to assess practice performance and may offer recommendations for optimizing potential. It will take a few months to gather and analyze the necessary data to support the physician in making informed decisions.
What happens to my employees post-acquisition?
All employees will transition to become employed by the Elevate ENT affiliated state-level ENT practice entity. Our goal is not to terminate employment when integrating with new practices. While we may explore opportunities to better utilize staff, such as reallocating individuals to a centralized team (e.g., RCM), rest assured that no employee will be let go unless specific performance issues or concerns arise during the discovery process.
Do I have to change my EHR system?
We use eCW as our preferred EHR. Eventually, there will be a transition to our EHR system, which will enhance the support provided by our centralized services and improve reporting capabilities. This transition will be discussed with you in advance. We understand the benefits and challenges of switching systems, including the potential impact on short-term revenue.
What value does the MSO provide?
Elevate ENT offers a comprehensive range of business and administrative services, including HR, IT, operations, compliance, marketing, credentialing, and contracting, finance, practice integration, and business and clinical benchmarking. The integration timeline will be outlined during the due diligence process, and many of these elements will be detailed on a timeline during discovery.
How will the MSO impact my office practices (clinical and business)?
The MSO is designed to enhance the efficiency of business functions, which may involve adjusting some of your practices. Additionally, it aims to benchmark your practice clinically and provide key metrics, enabling you to evaluate your practice and make any necessary or desired clinical improvements.
Will I be able to purchase new equipment when needed?
Yes, Elevate ENT will support the purchase of equipment, provided there is a valid business need and a return on investment.
Will I be required to provide any personal guarantees for financial responsibility?
None of our physicians are required to provide personal guarantees for anything.
What happens to the office that I own?
If you own your office real estate, you can continue to do so, and the MSO will rent from you at fair market value. A fair market value evaluation will be conducted to ensure compliance with Stark regulations.
What happens with ASC ownership?
ASC ownership or any real estate investment holdings remains yours, subject to compliance standards. As of today, Elevate ENT remains 'asset-lite' and does not operate or own any surgery centers/real estate.
